NOW THEREFORE in consideration of the Premises and other good and valuable consideration and the sum of $2.00 paid by the Tenant to the Landlord, the receipt and sufficiency of which is hereby acknowledged, the Landlord and the Tenant agree as follows:

1. **Definitions:** Capitalized terms not defined herein will have the meaning assigned to them in the Lease.

2. **Permissive Tax Exemption:** Tenant acknowledges that the Premises are subject to a gross lease, and that the Gross Rent payable hereunder is inclusive of property taxes. Tenant and Landlord acknowledge that Tenant is a registered non-profit organization and may be eligible to apply for a Permissive Tax Exemption from the City of Langford pursuant to the Community Charter or local municipal bylaws. If the City of Langford grants a Permissive Tax Exemption for all or a portion of the Premises, the financial savings realized by the Permissive Tax Exemption shall be passed directly to Tenant. Upon the Landlord receiving the property tax savings or credit from the City of Langford, the annual Gross Rent shall be reduced by an amount equal to the total municipal property tax savings realized by the Permissive Tax Exemption for the applicable tax year. Tenant shall be solely responsible for preparing and submitting all required applications and supporting documentation directly to the City of Langford. Landlord agrees to cooperate reasonably with Tenant, including providing proof of property ownership and leasing agreements as required by the municipality. Should a Permissive Tax Exemption be granted partway through a calendar year, Landlord shall prorate the tax savings and issue a credit or refund to Tenant within thirty (30) days of receiving the Permissive Tax Exemption confirmation. In the event the Permissive Tax Exemption is revoked or denied by the City of Langford, Tenant shall pay the full, unreduced Gross Rent for the remainder of the Term.

3. **Other Terms:** Time remains of the essence of the Lease, as amended by this Agreement.
